These Terms of Service ("Terms") govern the use of services provided by Clan Digital ("Company", "we", "us", or "our"). By engaging our services, accessing our website, or entering into a project agreement with us, you ("Client", "you", or "your") agree to be bound by these Terms. These Terms apply to both domestic and international clients.

1. Services Offered

Clan Digital provides digital services including, but not limited to:

• Website design and development
• Web application development
• Digital marketing services (SEO, social media marketing, paid advertising, content marketing, etc.)
• Branding, UI/UX design, and creative services
• Maintenance, support, and consulting services

The exact scope of services will be defined in a written proposal, quotation, statement of work (SOW), or agreement shared with the Client.

2. Engagement & Project Initiation

• A project is considered initiated only after written confirmation and receipt of the agreed advance payment (if applicable).
• Any timelines shared are estimates and may vary depending on project complexity, client responsiveness, and external dependencies.
• Delays caused by lack of feedback, content, approvals, or payments from the Client may affect delivery schedules.

3. Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and timely information, content, and approvals required for project execution
• Ensure that all materials provided (text, images, logos, data) are owned by the Client or legally licensed for use
• Appoint a single point of contact for communication and approvals
• Make payments as per agreed milestones and timelines

Clan Digital shall not be held responsible for delays or issues arising due to Client-side non-compliance.

4. Payments & Billing

• All fees, payment schedules, and milestones will be specified in the proposal or invoice.
• Unless otherwise stated, payments are non-refundable once the project has commenced.
• Any applicable taxes, duties, bank charges, or currency conversion fees shall be borne by the Client.
• Late payments may result in project suspension, delayed delivery, or withholding of final files until dues are cleared.
• For international clients, payments must be made via approved international payment methods in the agreed currency.

5. Revisions & Change Requests

• The number of revisions included will be defined in the project scope.
• Any request beyond the agreed scope will be treated as a change request and may incur additional costs and timeline extensions.
• Change requests must be approved in writing before implementation.

6. Intellectual Property Rights

• Upon full and final payment, the Client will own the final approved deliverables unless otherwise agreed in writing.
• Clan Digital retains the right to showcase completed work in its portfolio, website, and marketing materials unless restricted by a written NDA.
• All pre-existing tools, frameworks, source code, templates, and methodologies used by Clan Digital remain its intellectual property.

7. Third-Party Services

• Clan Digital may integrate or recommend third-party tools, plugins, hosting, domains, APIs, or platforms.
• We are not responsible for the performance, availability, security, or pricing changes of third-party services.
• Any third-party costs are to be paid directly by the Client unless otherwise specified.

8. Confidentiality

Both parties agree to maintain confidentiality of any proprietary, sensitive, or business-related information shared during the course of the engagement, unless disclosure is required by law or permitted in writing.

9. Warranties & Disclaimers

• Clan Digital provides services on a best-effort basis using industry-standard practices.
• We do not guarantee specific results such as sales, leads, search engine rankings, traffic, or revenue growth.
• All services are provided "as is" without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by law:

• Clan Digital shall not be liable for any indirect, incidental, special, or consequential damages.
• Our total liability shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

11. Termination

• Either party may terminate the engagement with written notice if the other party breaches these Terms.
• In case of termination, the Client shall pay for all work completed up to the termination date.
• No refunds will be issued for completed or ongoing work.

12. Force Majeure

Clan Digital shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or technical failures.

13. Governing Law & Jurisdiction

• These Terms shall be governed by and construed in accordance with applicable local laws, unless otherwise agreed in writing.
• For international clients, disputes shall be resolved through mutual discussion and, if required, arbitration or courts of competent jurisdiction.

14. Amendments

Clan Digital reserves the right to update or modify these Terms at any time. Updated Terms will be effective upon publication on our website or written communication to the Client.
